Domain registration terms

These terms apply when TwelveBirds Technologies Inc, a California (USA) corporation (“TwelveBirds”, “we”, “us”), registers or renews a domain name for you, the registrant.

We register domains as a reseller of Hosting Concepts B.V., trading as Openprovider, of Rotterdam, the Netherlands (Chamber of Commerce number 24277249), a registrar accredited by ICANN (IANA ID 1647).

Each registration is also governed by Openprovider’s registration agreement (https://doc.openprovider.eu/Registration_Agreement), for .hk domains also by its supplementary agreement (https://doc.openprovider.eu/Registration_Agreement_.hk), and by the rules of the registry that runs the domain’s ending.

You are the registrant and the owner of each domain we register for you. We manage it for you, as your agent, through our reseller account.

You must give us true and complete registrant details, and tell us of any change within 7 days.

After a registration or a change of registrant, the registry or the registrar may email the registrant’s address to verify it. A domain can be suspended if the address is not verified within 15 days.

False details, or no response to a verification request, can lead to the domain being suspended or cancelled.

You must not use a domain, or the DNS service we provide for it, for anything unlawful, including phishing, spam and malware. If a domain is used for abuse, we may suspend it or take any other action that the registry’s or ICANN’s policies require.

Search results, and the check we make before you pay, do not guarantee that a name can be registered: until a domain is registered, someone else may register it first. If a domain you paid for is not registered, we refund what you paid for it, and that refund is your only remedy.

Before a domain is registered, we may cancel it from your order and refund what you paid for it in full if its price was obviously wrong, or if the registry charges a premium price for it that was not shown to you.

Our team registers .com.hk, .sg and .com.sg domains by hand, so they are not registered at once: usually within 3 business days of payment, subject to the registry accepting the registration. If the registry refuses it, we refund what you paid for that domain.

We do not offer this service in mainland China. We may refuse or cancel an order, or any part of it, that US law, sanctions or a registry’s policy prohibits, and, unless the law prohibits it, we then refund what you paid for anything we have not delivered.

The first payment for a domain is its yearly fee multiplied by the minimum term of its ending (two years for .ai).

The yearly fee stays the same each year, unless we tell you of a change at least 45 days before it applies.

About 30 days before each expiry date we charge the renewal to the card you paid with. If the charge fails, we try again.

Prices are in US dollars. Any taxes due are shown on the payment page.

We email you a reminder about 45 days before a domain expires, and whenever a renewal charge fails.

If a renewal charge still fails after our retries and these reminders, or if you have cancelled the renewal, the domain expires under the registry’s rules: it stops resolving, so any website or email that uses it stops working. For a period after expiry that depends on its ending, it can still be renewed for the fee shown in the table below. After that, it may enter a redemption period, during which it can be restored for the redemption fee. When that period ends, the domain is released and anyone may register it.

To stop a domain renewing, use the cancellation link in our emails, or email hello@twelvebirds.com with the domain name, at any time. We confirm by email within one business day. The domain stays yours until it expires, and we do not refund the current term.

If a domain cannot be registered after you have paid, we refund what you paid for it, including its email setup fee.

Once a domain is registered, its fees are not refundable, except where the law requires a refund.

When you ordered, you asked us to register your domains (and set up any business email) at once; once that is done, you can no longer withdraw from that purchase where consumer law allows this.

The business email setup fee is a one-time fee for setting up a domain’s email with the provider you choose. It is not refunded once the setup is done.

Your mailboxes are provided under your own contract with that provider (Google, Microsoft or Zoho), which you pay directly. We are not responsible for the provider’s service, prices or availability.

You may move a domain to another provider at any time. We give you its transfer (authorisation) code within 5 days of your request. Transfers are subject to the transfer rules of the registry and of ICANN, which can prevent a transfer for up to 60 days after a domain is registered or transferred, and for a time after a change of registrant.

If our service ends, we help you move your domains to another provider.

Disputes over a domain are resolved under ICANN’s Uniform Domain-Name Dispute-Resolution Policy (UDRP) and the registry’s own dispute policy. We and the registrar follow the instructions of the dispute resolution provider, including locking the domain.

To report abuse involving a domain we manage, email hello@twelvebirds.com. We pass reports to the registrar and act on them promptly.

Our total liability to you for a domain is limited to what you paid us for that domain in the 12 months before your claim. We are not liable for lost profits, loss of business or business interruption, or any other indirect or consequential loss, including any such loss caused by a domain expiring or not resolving.

Nothing in these terms limits any rights you have that cannot be limited by law.

These terms are governed by the laws of the State of California, United States, excluding its conflict-of-law rules. Any dispute about these terms or our service is handled by the state or federal courts located in Alameda County, California, and both sides accept the jurisdiction of those courts. If the law where you live gives you mandatory rights, including a right to bring a claim in your local courts, those rights are not affected.
